Affiliate Program Agreement
 

By registering to be an Affiliate in the Affilicode Affiliate Program (the “Affiliate Program”) you agree to be bound by the following terms and conditions (the “Terms”). Please ensure that you read them carefully before registering. These Terms are a legal agreement between DECODE LLC a company registered in Dubai under business license number 2305858.01 and having its registered office at Business Center 1, M Floor, The Meydan Hotel, Nad Al Sheba, Dubai, United Arab Emirates (“DECODE”, “We”, “Us”) and You (the “Affiliate”, “you”).

We reserve the right to update and change the Terms from time to time without notice. Any amendments, modifications, enhancements or changes to the Affiliate Program including the release of new features and resources made available by us from time to time shall be subject to these Terms. Continued use of the Affiliate Program after any such changes shall constitute your consent to such changes. Any violation of these Terms may result in, among other things, termination or suspension of your rights to be an Affiliate and forfeiture of any outstanding affiliate referral fee payments earned during the violation.

Definitions

“Affiliate” or “Affiliates” are the individuals or entities in the affiliate application that intend to participate in the Affiliate Program and who will legally be bound by the Terms and Conditions herein.

“Customers” are the individuals and legal entities that are the end users of DECODE. 

“Affiliate Program” means the affiliate program (Affilicode) operated by DECODE, to which the Affiliates are enrolled and rewarded in the form of monetary compensation for referring Customers. 

“Affiliate Link” is the personal link from an Affiliate participating in the Affiliate Program, used to track referrals and commissions. The link can be displayed at any Affiliate’s promotional channel, and when clicked on by a potential customer, it directs to DECODE. 

“Referral” stands for a potential customer who was led to DECODE with the use of the affiliate link.

“Commission” means the money that an Affiliate earns from each referral that converts into an order with actual order payment.

“Abandoned Affiliate Account” means any affiliate account where the Affiliate Dashboard has not been logged into for a period of 12 months or has no affiliate referrals posted during a period of 12 months.

Participation Requirements and Affiliate Obligations

To be eligible to join the Affiliate Program, you must agree to the affiliate program terms and conditions and be at least 18 years old.

Each affiliate account is for use by either a single legal entity (e.g. a company or a partnership) or an individual user. We do not permit you to share your username and password with any other person nor with multiple users on a network.

In the application, you must provide your full name and any additional information asked. After registering for the Affiliate Program, we will review your application. We reserve the right and sole discretion to reject your application, and re-evaluate your application at any point in time.  

You are only allowed to create and use one affiliate account. 

You will receive a confirmation of your participation when the application is approved. After approval, you have direct access to your affiliate dashboard and personal referral link.

The affiliate’s main role is to operate as a marketing promoter of DECODE, and to introduce potential customers to the website of DECODE. The Affiliate is allowed to use their affiliate link and refer potential customers to DECODE.

As a participant in the Affiliate Program, you have the right to market and promote the services of DECODE. To do this, you may use marketing materials from DECODE, provided through DECODE for this specific purpose. 

The Affiliate is responsible for keeping company and price information in their promotions up to date. For example, if there is a change in pricing, package, or service at DECODE, it's the affiliate’s sole responsibility that information is updated.

Further obligations of the Affiliate are displayed on the Affiliate’s dashboard.

Any content created by the Affiliate referring to DECODE and its services DECODE shall become the (co-)owner and shall be allowed to use it.

Affiliates are prohibited from ever making any statements that may disparage or hurt DECODE brand in any way.

DECODE has the right to inquire about where exactly the Affiliate places and uses the Affiliate Links.

Policies and Prohibited Activities

​

As a condition to your participation in the Affiliate Program, you agree that while you are an Affiliate at DECODE, you will comply with all laws, rules, regulations, orders, licenses, permits, judgments, decisions, influencer marketing and advertising regulations, or other requirements (collectively, “Laws”) of any governmental authority that has jurisdiction over you.

This is regardless of whether those Laws are now in effect or later come into effect during the time you are an Affiliate or participating in the Affiliate Program, including, without limitation, during the application process. 

Without limiting the foregoing obligation, you agree that as a condition of your participation in the Affiliate Program, you will comply with applicable anti-spam laws.

By participating in the Affiliate Program, the Affiliate agrees that their website and other promotional channels do not contain or promote:

• Copyright, trademark, or other intellectual property rights.

• Adult, violent and defamatory content. 

• Gambling, including and without limitations, sports books, poker, and (online) casinos. 

• Religious and or political viewpoints. 

• Any content or services that violate the law. 

 

Paid promotions and Pay-Per-Click (PPC) bidding on the following keywords, and misspellings of these, are not allowed: DECODE, DECODE discount, DECODE coupon. It can’t be separate or in combination with other keywords. In order to use any DECODE related keywords through paid advertising, you need prior written approval of DECODE management.

DECODE does not work with dedicated discount and coupon websites. Affiliates that display misleading or invalid discount codes on their advertising channels or in their promotions will be removed from the Affiliate Program. Any misleading information to set an affiliate cookie on the potential customer's device is forbidden. This includes any campaigns that aim to mislead the potential customer by representing as DECODE.

Self-referrals are forbidden. This means you can not refer yourself. You will not receive commission on self-referrals.

The Affiliate shall act in DECODE’s interest and in compliance with all relevant and applicable industry regulations and industry ethical standards.

You may not use the Affiliate Program for any illegal or unauthorized purpose. You must not, in the use of the Affiliate Program, violate any laws in your jurisdiction (including but not limited to copyright laws).

You may not use DECODE’s name or graphics in any bulk email(s) whatsoever unless we have given our advanced written consent. We may terminate the Agreement if any meaningful spam complaints naming us or our services result from your marketing activities.

You may not issue any press release with respect to this Agreement or your participation in the Affiliate Program; such action may result in your termination from the Affiliate Program.

You are solely responsible for ensuring that your reviews, product descriptions and articles (if applicable at your site) obey all applicable copyright, trademark, and other laws.

Referrals

​

For the Affiliate to be eligible to earn a Commission, the Customer must click-through your Affiliate Link to DECODE website and place an order via the initial click-through. If potential customers fail to sign up without following your link, you will not earn a commission.

DECODE will only pay commission on referral links that are automatically tracked and reported by our system and displayed on your affiliate dashboard.

We will not pay commission if a potential customer says they signed up through you but it was not tracked by our system.

The commission is displayed on your affiliate dashboard for our revenue from customers that you refer. The commission will be credited to your Affiliate account once the customer arranged for payment of the order’s payment link. Commission is only earned if order payments are made in full.

Every customer who buys a service through this Affiliate Program is deemed to be a customer of DECODE. Accordingly, all of our rules, policies, and operating procedures concerning pricing, customer orders, customer service, and services sales will apply to those customers.

Commissions and Payments 

​

Commissions are paid to the Affiliate for customers that were brought to the website with the affiliate link and who placed an order for a DECODE services which got paid via the payment link. An order without the successful payment of the specific order's payment link is not counted for an affiliate commission. We do not offer lifetime commission. This means you will receive a Commission for the orders of a referred Customer only.

Commission shall be calculated on referral count basis. Considering the above, the order and payment of a DECODE service with a unique promo code for each affiliate counts also for an affiliate commission.

We pay commission on a request basis only. This is for commission accumulated above the minimum threshold of AED 4000. Our payout method is mainly PayPal or other displayed payment methods. It is the Affiliate’s responsibility to have an accurate and working PayPal email address.

We also offer wire transfers for commission. Please contact our affiliate team to arrange this. 

‍Customer payments refunded or payments charged-back due to credit card fraud do not qualify for referral commissions. We may delay crediting of commission subject to risk analysis considerations and anti-money laundering procedures.

A summary of customer referrals and statement of commission is available to the Affiliate by logging into their Affiliate account and displayed on the affiliate dashboard.

The Commission structure is subject to change at DECODE’s discretion.

We reserve the right to disqualify Commissions earned through fraudulent, illegal, or overly aggressive, questionable sales or marketing methods.

Orders placed, but not paid, will be cancelled by the system automatically and will not be part of your Commission. Decode system is the only source based on which Affiliate sales and referrals are calculated to determine the Commission.

Termination

​

The term of this Agreement will begin upon our acceptance of your Affiliate Program application and will end when terminated by either party. Either you or we may terminate this Agreement at any time, with or without cause, by giving the other party notice of termination. Notice by e-mail, to your address on our records, is considered sufficient notice to terminate this Agreement. DECODE reserves the right to end the Affiliate Program at any time. Upon Program termination, DECODE will pay any legitimate outstanding Commission.

DECODE, in its sole discretion, has the right to suspend or terminate your account and refuse any and all current or future use of the Program, or any other DECODE service, for any reason at any time. Such termination will result in the deactivation or deletion of your Affiliate Account, and the forfeiture and relinquishment of all potential or accrued Commission in your Account if they were earned through fraudulent, illegal, or overly aggressive, questionable sales or marketing methods. DECODE reserves the right to refuse service to anyone for any reason at any time. Upon the termination of this Agreement for any reason, you will immediately cease use of, and remove from your site, all links to the DECODE website and all our images and other materials provided under the Program.

Limitation of Liability 

​

DECODE provides no warranty or representation regarding the Affiliate Program, its availability, or the accuracy and completeness of the tracking and reporting systems. The Affiliate Program is provided on an "as is" basis.

In no event shall DECODE be liable for any indirect, consequential, or special damages arising out of or in connection with the Affiliate Program, including but not limited to lost profits or loss of business opportunities or incorrect information the Affiliate provides about DECODE or its services.

Relationship of Parties

​

You and we are independent contractors, and nothing in this Agreement will create any partnership, joint venture, agency, franchise, sales representative, or employment relationship between the parties. You will have no authority to make or accept any offers or representations on our behalf. You will not make any statement, whether on your site or otherwise, that reasonably would contradict anything in this Agreement.

Notice

All notices given by you to us must be given to DECODE LLC in writing to contact@decode-launch.com. We may give notice to you at the email address you provided to us when registering. Notice will be deemed received and properly served 24 hours after an email is sent. In proving the service of any notice, it will be sufficient to prove in the case of an email, that such email was sent to the specified email address of the addressee.

Governing law and jurisdiction

This Agreement shall be governed by and construed in accordance with the law of the United Arab Emirates. Disputes arising shall be subject to the exclusive jurisdiction of the Dubai Courts.
